Applicant’s signature attests financial responsibility, ability and willingness to pay all invoices in accordance with the standard terms. Service charges may be assessed on delinquent invoices at the rate of 1 1⁄2 % per month (18% per annum), together with any court costs, reasonable attorney’s fees and all other cost of collection, which Novelty, Inc. may incur in enforcing the terms of this agreement, all without relief from valuation and appraisement laws. If this Agreement is terminated for any reason, at any time, all products in the effected store(s) will become the Applicant’s property and will not be picked up by Novelty, Inc. The Applicant agrees to pay the final invoice within 21 days. If legal action becomes necessary by either Seller or Buyer, it is also agreed that this or any contemporaneous or subsequent agreement will be governed as to validity, interpretation, construction, effect and all other respects by the laws of the State of Indiana. Parties hereby agree that the Superior or Circuit Court of Hancock County, Indiana, shall be the court of proper venue and jurisdiction in the event of any legal action, including but not limited to collections, and the Applicant hereby waives its defense of “forum non convenes”.
